Price Validity
All quotations and estimates shall be provided by 2175508 Alberta Ltd. in writing and based on a specific scope of work, and are considered budgetary estimates and are based in good faith by the information available at the time of estimate. Unless otherwise stated the estimate is for work done during normal business hours (Monday – Friday from 7 am to 5 pm). We reserve the right to review estimates should the scope of work change, or other factors change from the initial information available at the time of the estimate. All written estimates shall be valid for a period of 30 days from the estimated date. Given that various components are subject to currency fluctuations, 2175508 Alberta Ltd. reserves the right to review pricing at the end of the thirty (30) day period and revise it accordingly
Delays in Delivery
2175508 Alberta Ltd. will not be liable for damage for delays in delivery or installation completion due to causes beyond its reasonable control.
Delivery of Materials
It is the sole cost of the Client to ensure all materials are on-site and on time for the successful completion of the project. Should the Client not send the materials directly to the project site, any costs associated with the delivery of the material to the site may be charged back to the Client. Should materials not be available prior to installation, downtime or rescheduling costs may be added to the cost of the project.
Downtime
2175508 Alberta Ltd. reserves the right to charge for unexpected downtime that is a result of, but not limited to, graphics and/or other items not being available before the time of installation, or site conditions not being conducive to the successful installation of the materials. Unless otherwise agreed in writing between the parties, downtime rate will be charged out at the rate of $104.50 per man-hour during regular business hours and $135.85 per man-hour after regular working hours.
Payment Terms
Payment terms for goods and services are C.O.D. unless otherwise agreed in writing between the parties. When warranted, a deposit may be required prior to commencement of work along with specific terms and conditions, milestones, deliverables, and payment schedule as agreed to in writing between the parties. 2175508 Alberta Ltd. may qualify a Client for payment terms at its own discretion.
Overdue Accounts
Interest will be charged at a rate of 2.5% per month on unpaid balances over 30 days past due. Title to the goods and/or products supplied by 2175508 Alberta Ltd. shall remain with 2175508 Alberta Ltd. until full payment has been received and whereby title to the property shall be deemed formally transferred to the client.
Warranty
2175508 Alberta Ltd. makes every effort to ensure that each project is successful and warrant that under normal use or service the installation of components shall be free from defects in workmanship for a period of 60 days from the date of installation unless agreed upon in writing. 2175508 Alberta Ltd. reserves the right to repair or replace the defect at its sole discretion. Some items, but not limited to, horizontal decals, banners, temporary signage, and textured surface films do not carry any warranty and will be installed at the Clients risk. Damage caused during or after the installation due to misuse, negligence, deliberate, or otherwise incidental, shall immediately void all warranties. We can not warranty any items where we are asked to install outside the manufacturer's warrantied temperature guidelines, or in extreme weather conditions.
Permits
While 2175508 Alberta Ltd. may be able to assist when specifically requested, all required permits and permissions remain the sole responsibility of the client.
Storage
In the event the delivery and installation of finished goods is delayed by the client due to any cause (e.g. permit delays, construction scheduling, weather, etc.), 2175508 Alberta Ltd. shall retain the right to place the completed goods into storage on behalf of the client. 2175508 Alberta Ltd. retains the right to store finished goods at the 2175508 Alberta Ltd. facility, or a third-party location for a period not to exceed one hundred twenty (120) days. The client agrees to pay expenses associated with such storage. While 2175508 Alberta Ltd. shall show a reasonable duty of care to ensure that items placed in storage are protected from damage or loss, 2175508 Alberta Ltd. shall not assume liability for finished goods placed into storage.
Intellectual Property Rights
All design concepts and design detailed drawings and the right to thereof, and developed by 2175508 Alberta Ltd. and provided to a client for review, shall remain the exclusive property of 2175508 Alberta Ltd.. Such design concepts and detailed drawings are not to be reproduced in any medium, nor provided to a third party by the client. Should, however, the client wish to obtain the property rights to the design concepts and detailed drawings, a written agreement, and requisite fee shall be negotiated between the parties for the transfer of the intellectual property rights from 2175508 Alberta Ltd., to the client. Upon execution of the agreement and payment in full of such fee by the client, 2175508 Alberta Ltd. shall grant in writing the transfer of intellectual property rights to the client for the specific design concepts and design detailed drawings.
Cancellation
Cancelled orders shall be subject to cancellation charges. Charges may include expenses incurred up to the time of the notification of cancellation, work in progress, irrevocable future commitments to third parties for goods and services, and other charges as required. Cancellation charges shall be at the sole discretion of 2175508 Alberta Ltd.. Amounts owing shall be due thirty (30) days after issuance of a final invoice by 2175508 Alberta Ltd.. Any amount credited against a deposit resulting from a cancelled order shall be valid for a period of one (1) year from the date of cancellation.
Reproduction
2175508 Alberta Ltd. shall have the right to possess and use images, descriptions of work in progress, and the completed project for their own promotional purposes.
Acceptance of Terms
Issuing a purchase order, written acceptance, scheduling requests and/or the payment of the deposit shall constitute acceptance of these terms and conditions.
2175508 Alberta Ltd. reserves the right to subcontract qualified trades and labour to facilitate project completions.
Quotations and Estimates
Quotations and estimates provided to 2175508 Alberta Ltd. are to be provided in writing outlining the products and services to be provided and key milestones and are to be valid for a period of not less than thirty (30) days from the date of the quotation or estimate.
Disclosure
Vendors who engage in the provision of products and services shall agree to disclose certain information upon receipt of a written request by 2175508 Alberta Ltd.. Information requested by 2175508 Alberta Ltd. may include but is not limited to information required to determine potential conflicts of interest, financial stability, availability of qualified resources and professional qualifications, association memberships, and references of current and/or past clients. 2175508 Alberta Ltd. shall agree to hold such provided information in the strictest confidence.
Deposits
Deposits paid to any and all vendors by 2175508 Alberta Ltd. shall be refundable to 2175508 Alberta Ltd. in the event of a fundamental breach of performance as defined and set out in the formal quotation provided to 2175508 Alberta Ltd., or agreement between the parties.
Ownership of Supplied Components
Any and all components delivered by 2175508 Alberta Ltd. to any engaged vendor are the exclusive property of 2175508 Alberta Ltd.. Such components are to be made available for return to 2175508 Alberta Ltd. within forty-eight (48) hours of any written request made to such engaged vendor.
Reproduction
2175508 Alberta Ltd. reserves the right to possess and use images, descriptions of work in progress, and the completed project produced by engaged vendors for their own promotional purposes. Vendors will not use images, descriptions of work in progress, and the completed project for their own promotional purposes unless agreed to in writing with 2175508 Alberta Ltd..
Solicitation
Engaged vendors and subcontractors agree not to solicit the Clients of 2175508 Alberta Ltd. for a minimum period of 1 year unless agreed to in writing between the parties.
Damages
Damage to product or property must be reported to 2175508 Alberta Ltd. immediately. Vendors are responsible to cover the full repair/replacement cost of any improperly installed products, product damaged after the vendor has taken possession from 2175508 Alberta Ltd., damage to customer property due, including but not limited to, negligence, improper techniques or accident. 2175508 Alberta Ltd. reserves the right to determine the proper rectification for damages at its sole discretion.
Failure to Report
2175508 Alberta Ltd. reserves the right to hold engaged vendors responsible for any costs associated with project rescheduling resulting from a complete no show by the vendor or a cancellation by the vendor inside of twenty four (24) hours of the scheduled project start.
Payment
2175508 Alberta Ltd. will issue payment for invoices received for satisfactory goods and services provided by vendors within thirty (30) business days unless otherwise agreed to in writing by both parties. 2175508 Alberta Ltd. reserves the right, inclusive of but not limited to, to withhold payment for unfinished or faulty work, goods produced to incorrect specifications, unrectified damages or outstanding arrears owed by the vendor to 2175508 Alberta Ltd.
Acceptance of Terms
Written acceptance of jobs or projects, issue of an estimate or quotation and/or the acceptance of the deposit shall constitute acceptance of these terms and conditions.
